ASPIRE CARD PRODUCT SCHEDULE
1. INTRODUCTION, SCOPE, AND PARTIES
1.1. This Card Product Schedule (“Card Schedule”) sets out the terms and conditions applicable to the Aspire Card (as defined below) and are supplemental to and form part of the Master Service Agreement (“Agreement”). Please read this document carefully together with the Master Service Agreement and the other Product Schedules (as applicable).
1.2. The Aspire Card is a debit card powered and issued by NIUM Pte. Ltd. ("NIUM"). NIUM is regulated by the Monetary Authority of Singapore under RA No. 01454 and is a major payment institution under the Payment Services Act No. 2 of 2019.
1.3. The parties to this Card Schedule are the Cardmember (as defined below) and Aspire.
1.4. The Cardmember accepts the terms and conditions of this Card Schedule when it applies for, retains or uses, or allows a Cardholder to retain or use the Aspire Card.
1.5. Aspire may amend, supplement, delete and/or vary any part of this Card Schedule at any time with notice, and such changes shall take effect on the date specified in the notice. The Cardmember’s or the Cardholder’s continued use of the Aspire Card after any such changes, shall constitute consent and acceptance of this Card Schedule (as may be revised from time to time).
1.6. Consumer advisory: Aspire FT Pte Ltd ("Aspire") is currently exempted from holding a licence under the Payment Services Act for the provision of Account Issuance Service, Domestic Money Transfer Service, and E-money Issuance Service for a specified period. This can be confirmed on the MAS website here.
1.7. Capitalised terms used in this Card Schedule but not defined have the meanings given in the Master Service Agreement.
2. APPLICATION, ISSUANCE AND ACTIVATION OF THE ASPIRE CARD
2.1. The Cardmember may apply for Aspire Cards for Cardholders via Aspire’s website or mobile application.
2.2. If the Cardmember makes an application for a physical card, Aspire will send the Aspire Card to the relevant address notified by the Cardmember to Aspire.
2.3. If the Cardmember makes an application for a virtual Aspire Card, Aspire will issue a 16-digit card number, expiry date and ‘[CVV/CVV2]’ code virtually which will be made available to the Cardmember through the Platform with no physical form..
2.4. Cardmember and Cardholder must follow Aspire’s activation procedures in order to use the Aspire Card.
2.5. Cardmember agree that the Cardholder must be a current employee or legitimate representative of the Cardmember at the time of card issuance and throughout the card's validity period, and agrees to comply with all terms and conditions set forth in the this Card Schedule, as well as any additional guidelines or policies provided by Aspire or the Cardmember relating to card usage. The Cardmember remains primarily responsible for all actions and transactions made by the Cardholder using the Aspire Card. Aspire reserves the right to refuse issuance of an Aspire Card to any proposed Cardholder or to cancel an Aspire Card at any time if the Cardholder ceases to meet these criteria or for any other reason as permitted under this Card Schedule.
3. USE OF ASPIRE CARD
3.1. The Aspire Card is a debit card which the Cardholder may use to make online payments, effect ATM withdrawals in certain countries, and purchase goods and services online related to business operations.The Aspire Card is linked to and supported by the Cardmember’s Multi-currency Account.
3.2. The Aspire Card is not a guarantee card, charge card or credit card, and is not for personal use.
3.3. The Card may also be used to carry out point-of-sale transactions at point-of-sale terminals and at such other physical readers or systems as Aspire may approve from time-to-time. The Cardholder’s signature, PIN, or other authentication on the Cardholder’s part may be required for each point-of-sale transaction.
3.4. The Cardmember is liable for all point-of-sale transactions incurred on the Aspire Card regardless of whether the point-of-sale transactions were properly authorised by the Cardmember or the Cardholder. The Cardmember and the Cardholder acknowledge the ease of which unauthorised point-of-sale transactions may be carried out and accept the risk of unauthorised point-of-sale transactions.
3.5. Purchases are directly deducted from the relevant Cardmember’s Multi-currency Account linked to the Aspire Card, of which the relevant terms of use (including the ‘Payments & FX Product Schedule’) are available on the Platform. Should you conduct the purchases using the Advance Card, it shall be deducted from the Cardmember’s Advance Account and shall be subject to the Advance Product Schedule.
3.6. The Cardholder only, and no one else, may use the Aspire Card to effect transactions on the Aspire Card, subject to the terms and conditions of this Card Schedule.
3.7. The balance on the Cardmember’s Account will be reduced by the amount of each online payment or ATM withdrawal made with the Aspire Card, with any additional fees which may be incurred for such transaction. The Cardmember and the Cardholder shall not use the Aspire Card to make any payment in excess of the balance of funds available on the Cardmember’s Multi-currency Account.
3.8. We may, at our discretion, set transaction limits for the usage of the Aspire Card on a per-day or per-transaction basis, and reserve the right to limit the number of Aspire Cards you can request each month or have active at any given time. You acknowledge that transactions using the Aspire Card may be declined for various reasons, including but not limited to exceeding limits, insufficient funds, suspected fraud, compliance issues, or technical problems. Such declines may be initiated not only by Aspire but also by other parties involved in the card issuing or transaction processing, such as card networks, acquiring banks, payment processors, or regulatory bodies. Aspire shall not be held liable for any losses, damages, or inconvenience resulting from these declines, regardless of the initiating party.
3.9. Transactions on your Aspire Card may require our authorisation. We may in our reasonable discretion deny authorisation and/or suspend the use of your Aspire Card based on, but not limited to, the following reasons:
a. Because the balance of your Multi-currency Account is insufficient.
b. The transaction exceeds any transaction limit in connection with your Aspire Card from time to time.
c. We suspect that there is fraud or a security issue or we suspect that your Aspire Card is being used which contravenes our Acceptable Use Policy.
d. Limitations due to product design or features.
e. Internal risk control measures and policies.
f. The transaction falls under categories or merchants that are not allowed as per our policies
g. Compliance with anti-money laundering (AML) regulations, sanctions, or other regulatory controls.
h. Issues or restrictions imposed by third parties involved in the transaction processing, including card networks, acquiring banks, or payment processors.
i. Technical issues or system maintenance affecting our ability to process transactions.
3.10. For authorization purposes, we may require you to confirm your identity by following certain steps specified by us in the Platform. You acknowledge and agree that we are not liable to you or any other person for any loss suffered as a result of an authorisation not being granted.
3.11. If a transaction is made using the Aspire Card in a currency other than the currency in which the Aspire Card is denominated (the "Card Currency"), Aspire shall convert the transaction amount into the Card Currency. The conversion shall be based on Aspire’s foreign exchange rates, which shall be determined by Aspire in its sole discretion.
4. ADVANCE CARD
4.1. The Cardmember may apply for Advance Card for the Cardholders via the Platform, subject to internal due diligence conducted by Aspire for the provision of the Advance Line.
4.2. If the Cardmember intends to use the Advance Card, the terms and conditions of the advance product shall apply to the Cardmember.
5. SAFETY AND SECURITY
5.1. You must:
a. only allow Cardholder to use the Aspire Card but not any other person;
b. not give your PIN to anyone else;
c. not record the PIN on anything carried with your Aspire Card or on anything liable to loss or theft simultaneously your Card, unless you make a reasonable attempt to protect the security of the PIN;
d. not use identifiable numbers which could be easily guessed by someone else for your PIN; and
e. regularly monitor your account to make sure no unauthorised transactions have occurred.
5.2. You must also comply with any additional security requirements we notify you from time to time.
5.3. We may disclose any information we believe to be reasonable to law enforcement agencies if we suspect there has been any unauthorised use, misuse or fraud in connection with your Aspire Card.
5.4. If the Aspire Card is lost or stolen or if the Cardmember or Cardholder believes that the Card, card number or PIN may be misused, the Cardmember and Cardholder must:
a. without undue delay, notify and give Aspire written notice thereof;
b. assist in the recovery thereof or stop the use of the Aspire Card, card number or PIN immediately; and
c. make a formal police report upon the occurrence of such event, and furnish Aspire with the police report and a written confirmation of such loss, theft or unauthorised disclosure and any other information Aspire may require.
5.5. After you provide us with the written notification based on the above, Aspire shall freeze the Aspire Card and prevent the issuance of any additional Aspire Card until the matters have been resolved.
6. LIABILITY
6.1. You agree and acknowledge that you are responsible and liable for any and all transactions made by you, any Cardholders or Authorised Users using the Aspire Card.
6.2. Notwithstanding any of the terms under the Master Service Agreement, you shall be liable for all unauthorised transactions by:
a. breaching or compromising the security of your Aspire Card, PIN, Aspire Card details or your Multi-currency Account; or
b. delaying the reporting of the loss, theft or misuse of your Aspire Card, PIN or Aspire Card details,
in which case you will be liable for all losses until such time as you notify us of the loss, theft or misuse of your Aspire Card.
6.3. You agree and acknowledge that we are not responsible or liable for:
a. any loss arising from any decision by a merchant to accept or refuse the use of your Aspire Card;
b. for any charges incurred by any user of the Aspire Card who does not, in fact, have sufficient authorisation from you to use the Aspire Card; or
c. quality, safety, legality, or any other aspect of any goods or services purchased with the Aspire Card.
7. REFUNDS AND CHARGEBACKS
7.1. If the Cardmember or the Cardholder wishes to receive a refund after conducting a transaction with a merchant via the Aspire Card ("Refund"), the Cardmember or the Cardholder should approach the merchant directly with the request. If the merchant in its discretion decides to process the request for a Refund, Aspire will credit the Multicurrency Account with the Refund after Aspire receives the relevant amount from the merchant. Aspire shall not be obliged to investigate or defend the validity and/or value of any Refund.
7.2. If the Cardmember or the Cardholder wishes to receive a refund from a merchant in respect of a disputed transaction ("Chargeback"), the Cardmember or the Cardholder should promptly approach Aspire with the request and supporting documents relating to the transaction. Under the prevailing scheme rules for the Aspire Card, the overall time limit to file a claim for a Chargeback is within 120 days. If the dispute is resolved in the Cardmember’s or the Cardholder’s favour, Aspire will credit the Multicurrency Account with the Chargeback after Aspire receives the Chargeback.
7.3. The Cardmember and the Cardholder acknowledge and agree that the amount of any Refund or Chargeback received pursuant to any transaction made under the Aspire Card may be different to the amount originally processed on the Aspire Card due to exchange rate fluctuations, transaction fees, or the amount received with respect to any Refund or Chargeback being a partial refund of the original amount. The Cardmember and the Cardholder acknowledge and agree that Aspire will not be responsible for any such shortfall.
8. FEES AND CHARGES
8.1. Aspire may at their discretion, charge and deduct the Multi-currency Account or Advance Account the following fees:
a. fee for the issuance, maintenance and renewal of the Aspire Card, whether in virtual or physical form;
b. replacement fee for the Aspire Card, whether in virtual or physical card;
c. administrative and transaction fees for foreign currency transactions and transactions processed outside Singapore;
d. administrative fee for the production or retrieval of any documents of and relating to the Aspire Card; and
e. any other fees and/or charges for any services provided or action taken by Aspire in connection with the convenience, administrative or processing fees howsoever described for transactions made on the Aspire Card with or through selected merchants and/or payment intermediaries.
8.2. Aspire, at its sole discretion, determines the fees and charges applicable to the Cardmember for the use of the Aspire Card and related services. Aspire reserves the right to modify these fees and charges from time to time. Any changes to the fee structure will be communicated to the Customer through the Platform and/or via email at least 30 days before the changes take effect, unless a shorter notice period is required by law or regulation.
8.3. Without prejudice to the foregoing, Aspire may charge:
a. any sum howsoever due and owed to Aspire by the Cardmember as a result of using the Aspire Card; and/or
b. any fees, costs and/or expenses incurred by Aspire to rectify any error in payment or record, whether arising from the reversal of any Aspire Card transaction posted on the Aspire Card or otherwise in relation to the use of the Aspire Card.
9. EXPIRATION
9.1. The Aspire Card shall expire on the date printed on the respective card or specified on the Platform (if any) or as otherwise notified to the Cardmember or Cardholder. The Cardholder will not be able to use the Aspire Card after the date of expiry.
9.2. The Aspire Card will be deactivated and you will not be able to use it after its expiry. If you wish to continue using the Aspire Card, the Cardmember shall apply for a new card.
10. CANCELLATION, SUSPENSION AND TERMINATION
10.1. Aspire may cancel, suspend or terminate the Aspire Card and/or Aspire Account at any time without having to give any reason or notice to the Cardmember or the Cardholder.
10.2. The Cardmember may apply to cancel the Aspire Card through the Platform, or by giving Aspire written notice. The card shall only be cancelled once Aspire confirms. Upon the cancellation of the Aspire Card, any accrued liabilities and all obligations under this Card Schedule will remain continuing and Aspire shall remain entitled to debit from the Multi-currency Account any amount outstanding and owing to Aspire, including any overdraft charges and payments owing from Aspire Card transactions carried out before cancellation of the Aspire Card.
10.3. Without limiting the generality of the foregoing, Aspire may at any time cancel any Aspire Card which has not been utilised for any transaction for more than 3 months.
10.4. The Cardmember will procure that all physical Aspire Cards be cut up and returned to Aspire upon or promptly after cancellation.
10.5. The rights conferred on Aspire under this Card Schedule shall survive termination.
11. DEFINITIONS
11.1 In this Card Schedule:
“Advance Account” means the advance account granted to the Cardmember, with the terms and conditions as stipulated in the Advance Product Schedule.
“Advance Card” means an Aspire Card with the account linked to an Advance Account, with the terms and conditions as stipulated in the Advance Product Schedule.
“Advance Product Schedule” means the advance product terms and conditions which can be accessed here.
“Aspire Card” means each Aspire debit card (virtual or physical) requested by the Cardmember and powered and issued by NIUM, and any substitution, replacement or renewal thereof.
“Cardholder” means a person to whom the Aspire Card is issued on the application or request of the Cardmember who is currently an employee of the Cardmember or legitimate representative of the Cardmember as at the date of the application and throughout the card’s validity period.
“Cardmember” means the corporation, firm or entity which is the applicant for the Aspire Card.
“Card Currency” has the meaning ascribed to it in Clause 3.11.
“Chargeback” has the meaning ascribed to it in Clause 7.2.
“Multi-currency Account” has the meaning given in the Payments & FX Product Schedule.
“Network” means a major national or international network or association such as American Express, Mastercard, Visa, RuPay, JCB, Discover, UnionPay or any other global or local network or association that Aspire and/or NIUM may work with from time to time to enable the use of the Aspire Card or Advance Card.
“Payments & FX Product Schedule” means the payments and foreign exchange product terms and conditions which can be accessed here.
“Refund” has the meaning ascribed to it in Clause 7.1.
