Bill Pay Terms & Conditions

1. BILL PAY SERVICE

1.1. General

1.1.1. By using our Bill Pay Service you represent and confirm that you have read, understood and agree to be bound by these terms and conditions (“Agreement” or “Bill Pay Terms & Conditions”). You are advised to read the Debit Account Terms and Conditions (available at aspireapp.com) for the terms and conditions governing your Aspire virtual debit account (“Account”). If you do not agree to any of these terms and conditions, you should not use the Account or the Bill Pay Service and you should contact Aspire immediately.

1.1.2. In this Agreement, the term:

“Bill Pay Service” means the service provided by Aspire to existing customers (“you” or “your”) to pay your business-related invoices (“invoice”) to your designated recipient(s). 

“Business Day” means a day (other than a Saturday, Sunday or public holiday) on which commercial banks are open for business in Singapore.


1.2. Using the Bill Pay service

1.2.1. Instructions on how to use the Bill Pay Service may be found at aspireapp.com/bill-pay. You must follow the instructions on how to access and use the Bill Pay Service as advised by Aspire from time to time.

1.2.2. You agree that it is your responsibility, not Aspire’s, to pay all invoices in a timely manner. Further, it is your responsibility to ensure that sufficient money is available in your Account at all relevant times to enable payment of the invoice, and that your recipient and your recipient’s bank can and will accept payment(s) from you via the Bill Pay Service.

1.2.3. You agree that you:

1.2.3.1. will supply Aspire, upon request, with all information Aspire reasonably requires to enable Aspire to provide the Bill Pay Service to you; and

1.2.3.2. you will be responsible for the final approval and payment of the invoice.

1.2.4. You represent and warrant to Aspire that all information you provide to Aspire to use the Bill Pay Service is correct, complete and current.

1.3. Fees

Currently, the Bill Pay Service is available free for all existing Aspire customers. However, Aspire retains the right to charge fees in order to render the Bill Pay Service in the future. Should Aspire choose to do so, it will provide you prior written notice of such fees to allow you to determine whether to continue using the Bill Pay Service.

1.4. Processing

1.4.1. Invoices sent before 3 PM, Singapore time, on a Business Day will be processed on that same Business Day. Other invoices sent after 3 PM Singapore time on a Business Day, or sent on a day that is not a Business Day, will be processed on the next Business Day. Aspire will endeavour to process all transactions without delay, but expressly disclaim any and all liability for any processing delays, or the consequences of any processing delays, which may occur in any circumstance, whether beyond Aspire's reasonable control, or otherwise.

1.4.2 Aspire will add the invoice reference number as description of the payment request to reconcile your invoice and payment request.

1.4.3 Aspire is not responsible for the recipient or the recipient’s bank or payment intermediary delaying or denying an invoice payment.

1.4.4 Where an invoice payment is declined by the recipient or the recipient’s bank for any reason, your invoice payment transaction will not result in payment of your invoice. You will be responsible for any fees and charges levied by the recipient or the recipient’s bank or payment intermediary for any declined payment or, if applicable, late payment. You agree that Aspire will not be responsible for any such fees and charges.

1.4.5 Aspire is entitled to refuse to process an invoice payment request at any time without giving any reason and/or may require additional information from you before Aspire processes your invoice payment request. Aspire shall be under no obligation to process your invoice payment request where it reasonably suspects that it could result in a breach of law (including sanctions, anti-money laundering or anti-bribery laws and regulations).

1.4.6 You will not be able to cancel, alter or reverse any invoice payment transaction that you have approved. If you believe an invoice payment is incorrect, unauthorised or you wish to make a cancellation for any other reason, you must immediately contact Aspire by email support@aspireapp.com, or by phone at +65 3165 1500 during business hours (Monday to Friday, 9:30AM to 6:30PM Singapore time). Aspire will use reasonable endeavours to assist you but there is no guarantee that any approved transaction will be successfully cancelled, altered or reversed.

1.5. Termination

1.5.1. This Agreement remains in effect until your use of the Bill Pay Service is terminated by you or Aspire.

1.5.2 Aspire may terminate or suspend the Bill Pay Service, or your use of the Bill Pay Service, for any reason at any time. Aspire shall not be liable to you for any losses, costs, expenses, claims or damages which you may incur or suffer as a result of Aspire’s decision to terminate or suspend the Bill Pay Service or your use of the Bill Pay Service.

1.5.3 The termination of the Bill Pay Service, or your use of the Bill Pay Service, shall not relieve you of any responsibility to pay outstanding fees or charges or other liabilities incurred prior to the date of termination.

1.5.4 Clauses 7.5.2 and 7.5.3 shall survive the termination of this Agreement.

1.6. Miscellaneous

1.6.1. We may amend, supplement, delete and/or revise any part of this Agreement at any time with notice, and such changes shall take effect on the date specified in the notice. Any such notices and updated terms will be published on the Platform. If you do not accept the revised terms, you have the option to terminate your direct debit instructions before they take effect. If you continue to use the direct debit payment services after Aspire has given notice of any changes, you are deemed to have accepted and agreed to such changes without reservation.

1.6.2 If any one or more of the provisions of this Agreement or any part thereof is declared to be illegal, invalid or unenforceable under any applicable law, it will not affect the legality, validity or enforceability of the remainder of this Agreement in such jurisdiction or the legality, validity or enforceability of this Agreement in any other jurisdiction

1.6.3 No forbearance or failure or delay by Aspire in exercising any right, power or remedy is to be deemed to be a waiver or partial waiver thereof on the part of Aspire; and no waiver by Aspire of any breach of this Agreement on your part is to be considered as a waiver of any subsequent breach of the same or any other provision of this Agreement

1.6.4 You may not assign, transfer or otherwise dispose of any of your rights, benefits or obligations under this Agreement. We may assign or transfer to any third party (including, without limitation, to any other corporation within the Aspire Group) any of our rights, benefits and obligations under this Agreement without your consent or the need to provide you with any prior notice of such assignment or transfer, and you irrevocably consent to any such assignment or transfer by us 

1.6.5 A person who or which is not a party to this Agreement shall not have any right under the Contracts (Rights of Third Parties) Act (Chapter 53B) to enforce any provision of this Agreement

1.7. Governing Law and Jurisdiction

1.7.1. This Agreement is governed by and construed in accordance with Singapore law.

1.7.2 You agree that the courts of Singapore will have non-exclusive jurisdiction over any claim or dispute arising under or in connection with this Agreement.
